Contractor agreement

BETWEEN: BEENBEESRUS LLC

An Incorporated Property Preservation Company, herein after referred to as “BEENBEESRUS LLC Services”: 3900 S Hualapai Way, Suite 133, Las Vegas, NV 89147.

WITH: _____________ (The subcontractor), a company organized and existing under the laws of the State of ___ with its head office located at:_________________________________________________.

For the purpose of this document, BEENBEESRUS LLC’s Property Preservation Wizard-based internal software system shall be referred to as “PPW.” This agreement shall be construed as if prepared with equal input by both parties and shall not be construed more strongly against either party regardless of who prepared it. If there is a conflict between this agreement and any present or future law, this agreement shall be curtailed only to the extent necessary to comply with the law.

1. Term of Agreement

This agreement shall remain in effect for one year from the date of execution and shall automatically renew unless terminated in accordance with Section 15.

2. Services

Subcontractor agrees to perform services relating to property support, garden care, and property improvements/fixes as outlined in work orders submitted by BEENBEESRUS LLC. The subcontractor will determine the methods for performing the services. BEENBEESRUS LLC may specify only the results required.

3. Relationship

The subcontractor is an independent contractor, responsible for their own taxes and liabilities. BEENBEESRUS LLC will issue a 1099 form but will not withhold taxes. The subcontractor’s employees or subcontractors are the full responsibility of the subcontractor, and BEENBEESRUS LLC shall not be liable for their actions. The subcontractor has no authority to bind BEENBEESRUS LLC.

4. Work Orders & Changes

Each job will have a written work order detailing due dates and specific instructions. The subcontractor must confirm receipt of all work orders in writing. Any additional work must be pre-approved in writing. Failure to follow work order specifications will be considered a contract violation.

5. Quality Control & Compliance

BEENBEESRUS LLC may conduct quality inspections. If deficiencies are found, the subcontractor must correct them within 24 hours at their own expense. A $50 penalty per rework visit may be deducted from payments. If issues persist, BEENBEESRUS LLC may charge additional penalties or withhold payment.

6. Equipment & Supervision

The subcontractor is responsible for providing all labor, tools, and equipment. The subcontractor must ensure all employees and subcontractors comply with U.S. work authorization laws. The subcontractor must indemnify BEENBEESRUS LLC against any violations.

7. Conduct & Safety

The subcontractor and their crew must wear appropriate clothing, act professionally, and comply with OSHA safety standards. Use of alcohol, drugs, profanity, or solicitation of additional work from clients is strictly prohibited.

8. Completion Photos & Payment Requirements

A job is not considered complete until all work is finished, tools removed, and waste cleared. The subcontractor must submit before, during, and after photos via PPW. Payment will not be made unless adequate photos are submitted and approved.

9. Payment Disputes & Resolution

Subcontractors must dispute short payments within 15 days of the original payment date or within 30 days of the expected payment date. Disputes must be submitted through PPW. The subcontractor waives all lien rights and agrees not to contact property owners or post online complaints. Any disputes must be resolved through mediation before litigation.

10. Payment Terms

Payments are processed within 30 days of submission into PPW, unless on an alternative pay schedule (weekly, monthly, etc.). No payment will be made unless work is fully complete and approved. If payments are delayed beyond 30 days due to client delays, BEENBEESRUS LLC shall not be liable for late fees.

11. Insurance Requirements

The subcontractor must maintain the following insurance policies:

  1. General Liability Insurance - $1,000,000 per occurrence.

  2. Extended Property Damage Coverage - $50,000 per occurrence.

  3. Automobile Liability Insurance - $100,000 per person / $300,000 per accident.

  4. Workers' Compensation Insurance if they have employees.

  5. BEENBEESRUS LLC must be named as an additional insured.

  6. A 30-day notice of cancellation must be provided.

12. Non-Solicitation Clause

For 12 months after contract termination, the subcontractor cannot solicit BEENBEESRUS LLC clients for work directly.

13. Confidentiality

Subcontractors must keep client information, work orders, and business strategies confidential. After termination, they must return all confidential materials to BEENBEESRUS LLC.

14. Indemnification Clause

The subcontractor shall indemnify, defend, and hold BEENBEESRUS LLC harmless against any claims, liabilities, damages, losses, or expenses arising from subcontractor work, including injuries and property damage.

15. Work Stoppages Prohibited

Subcontractors cannot stop work due to payment disputes. Work orders must be completed while disputes are being resolved.

16. Background Checks

Subcontractors must pass an Aspen Grove Background Check (ABC) annually. Failure to comply will result in contract termination. The subcontractor is responsible for background checks on all employees and subcontractors.

17. Termination

This agreement may be terminated:

  1. By either party with written notice.

  2. Immediately for bankruptcy, insolvency, or death of either party.

  3. If subcontractor assigns this contract without prior written consent.

  4. If subcontractor disputes termination, they must submit a written appeal within 7 days of notice.

18. Arbitration Clause

All disputes must be resolved through binding arbitration in Nevada. Both parties waive their right to a jury trial. The arbitration award shall be final and enforceable in any court.

19. Severability

If any provision of this agreement is found invalid, the rest of the agreement shall remain in effect.

20. Force Majeure Clause

Neither party shall be held liable for failure to perform obligations due to events beyond their control, including but not limited to natural disasters, war, government intervention, or pandemics.

21. Entire Agreement

This agreement supersedes all prior agreements, oral or written. Any amendments must be in writing and signed by both parties.

22. Governing Law

This contract shall be governed by the laws of Nevada. Any legal action must be filed in Nevada courts.
